Zmiana charakteru roli rady nadzorczej w świetle nowelizacji ustawy o rachunkowości
Streszczenie
Ustawodawca polski w celu implementacji dyrektywy 2006/46/WE zmienił ustawę o rachunkowości. Zmiana polegała na tym, że wprowadzono art. 4a przewidujący, że kierownik jednostki oraz członkowie rady nadzorczej lub innego organu nadzorującego jednostki są zobowiązani do zapewnienia, aby sprawozdanie finansowe oraz sprawozdanie z działalności spełniały wymagania przewidziane w niniejszej ustawie (ust.1). Kierownik jednostki oraz członkowie rady nadzorczej lub innego organu nadzorującego jednostki odpowiadają solidarnie wobec spółki za szkodę wyrządzoną działaniem lub zaniechaniem stanowiącym naruszenie obowiązku wynikającego z ust. 1 (ust.2). Regulacja ta weszła w życie 2 maja 2008r. W świetle nowelizacji ustawy o rachunkowości w literaturze podnosi się, że rada nadzorcza musi zwiększyć zakres możliwego wpływu na kształt sprawozdania finansowego i sprawozdania z działalności spółki. Art. 4a ustawy o rachunkowości nakłada na radę obowiązek aktywnego nadzoru i aktualnej wiedzy o sytuacji finansowej spółki. In order to implement the Directive 2006/46/EC Polish legislator modified the Accounting Act. The change concerned an implementation of Article 4a in which head of the unit and members of the supervisory board or of another body being in charge of the units are obliged to ensure that the financial report and the report on operations shall meet the requirements stipulated in the said Act (section 1). Head of the unit and members of the supervisory board or of another authority overseeing the units are jointly accountable to the company for a loss caused by an action or a failure to act being an infringement of the duty resulting from section 1 (section 2). This regulation came into force on 2 May 2008. In the light of the amendment to the Accounting Act the literature raises an issue of the supervisory board’s necessity to increase the scope of possible influence on the form of the financial report and the report on the company’s operations. Article 4a of the Accounting Act places the board under an obligation to actively supervise the company and to have up-to-date knowledge on the company’s financial situation.
